DISTRIBUTOR AVAILABILITY AND CONDITIONS
BeautyOurWay Llc is strict about our Distributor agreement and distribution of our products. Under this Distributor Agreement. BeautyOurWay Llc products may NOT be sold or distributed at any Flea Market, Drug Store, Outlet Store, Online Store, Direct Sales, Beauty Salon, Barber Shop, Magazine, Social Media, or any other Beauty/Retail affiliations. You must receive prior authentic written consent from BeautyOurWay Llc to become an Authorized Distributor for your business. Distributor options are only available to Retail Store, Cosmetic Retailer, Beauty Salon, Spa, and Professional Makeup Artist at the discretion and approval of BeautyOurWay Llc. Under no circumstances is BeautyOurWay Llc, liable to Distributor for any loss profits and any other incidents or consequential damages in connection with any product claims or causes of actions.
CONFIDENTIAL INFORMATION AND NO REVERSE ENGINEERING
During Agreement term and thereafter, neither Distributor, Distributor’s employees, independent contractors, or other agents shall NOT (1) reverse engineer, disassemble or place unwarranted codes on any BeautyOurWay Llc Products or any information provided to Distributor, (2) do not use any of the Confidential Information or BeautyOurWay Llc provided training to support, maintain or otherwise service a third party’s service or product. Distributor may NOT attach the BeautyOurWay Llc brand name/logo to reports, website, web-store, free standing store, flea market booth, product packaging and/or sales collateral. Distributor has no rights, titles, and/or interest under this agreement to any TRADEMARKS, PATENTS, TRADE NAMES, DISTINCTIVE PACKAGING and DESIGNS of BeautyOurWay Llc and/or any of its AFFILIATES used on or in conjunction with Distributor products. DISTRIBUTOR acknowledges that all TRADEMARKS, PATENTS, TRADE NAMES, DISTINCTIVE PACKAGES, DESIGNS, and processes or documentation pertaining to BeautyOurWay Llc and the relevant exploitation rights are the exclusive property of BeautyOurWay Llc. If terms and conditions are misused and/or abused, Distributor / Makeup Artist benefits will be revoked immediately.
NO THIRD PARTY AGENT
Distributor shall not sell/license BeautyOurWay Llc Products through third parties as original equipment manufacturers, distributors, value added re-sellers or other dealers or agents, without Supplier’s prior written consent to the proposed relationship and its specific terms.
BeautyOurWay Llc appointment of Distributor in Section 1 of this agreement is an exclusive appointment to distribute BeautyOurWay Llc Products in the approved market/territory. Distributor may not independently advertise, solicit, and make sales of BeautyOurWay Llc Products, support Supplier Products, or appoint additional distributors for BeautyOurWay Llc Products in the Market/Territory.
PRODUCT PRICING AND EXPENSES
BeautyOurWay Llc will set the selling price by which our products are sold by Distributor in approved area. Distributor will refer to Supplier’s Website at www.BeautyOurWay.com to retrieve product pricing. Distributor shall be solely responsible for the total costs involved in the distribution of BeautyOurWay Llc Products, including import duties, all banking fees, installation cost, shipping and handling fees, sales costs, operating expenses, wire transfer fees, and all cost affiliated with making payments and taxes.
DISTRIBUTOR ORDER TERMS AND CONDITIONS
All Distributor orders will be transmitted by BeautyOurWay Llc to Distributor and shall be subject to acceptance in writing by Supplier. BeautyOurWay Llc may (by its sole discretion) refuse acceptance of an order. Each order submitted shall constitute an offer by Distributor to purchase or license the said products on the terms and conditions set forth in this Agreement. Conflicting, inconsistent or additional terms or conditions in any order submitted by Distributor shall not be binding unless BeautyOurWay Llc accepts such terms or conditions in writing. All expenses arising out of the change, cancellation or refusal of an order after acceptance by BeautyOurWay Llc, including the cost of diversion, cancellation, re-consignment, or refusal of shipment, a 20% restocking charge shall be paid by Distributor to BeautyOurWay Llc, on demand. All shipping charges are at the customer's expense, unless noted and approved by BeautyOurWay Llc. If signature is required, someone must be present to receive the package. Refusing shipment does not justify or create an order cancellation for your benefit. We will retain a 20% restocking fee from your order amount. Our 20% restocking fee also applies to Refunds, Partially Cancel Orders - Order Adjustment, if applicable. Again, Distributor orders are not exchangeable, non-returnable or non-refundable, unless prior written authorization from BeautyOurWay Llc.
PRODUCT WARRANTY AND DEFECTIVE ITEM(S)
Limited Supplier warranty. Distributor warrants 3 business days “the Warranty Period” following delivery of BeautyOurWay Llc Products to notify Supplier of any defects or damage items. BeautyOurWay Llc Manufacturer performs rigorous testing on each product to ensure that all products are defect-free and well-secured before distribution. If you receive a defective product(s); again, please contact us as soon as you receive the item(s). We will replace as soon as we receive the item(s) from you, depending on availability of that same product(s). Defective items are defects caused by the manufacturer. Defective product(s) does not include damages from shipping/handling. Please contact your shipping provider and have your tracking number handy. Defective item(s) by fault of BeautyOurWay, please obtain a Return Merchandise Authorization Number to send your defective item(s) back to us for processing. If you need to exchange your product(s) for the same item(s), send us an email at BeautyOurWayCosmetics@gmail.com expressing your request. Please email us at BeautyOurWayCosmetics@gmail.com with your request, questions, or concerns. Restocking fees does not apply.
PROCESSING: SHIPPING AND HANDLING
Processing times including shipping for domestic orders are 7-10 business days, this excludes weekends, holidays, and extreme weather conditions. Out-of-stock products may take longer because they are on back-order. When orders are placed and confirmed, BeautyOurWay Llc usually ships Flat Rate Priority along with signature confirmation of USPS current rate, based on the weight of your order. You must have your order number for any inquiries. INTERNATIONAL ORDERS have the option of global express, includes tracking number, and processing times may take up to 3-4 weeks, excluding weekends, holidays, and extreme weather conditions. You must have your order number for any inquiries. Shipping and handling costs are non-refundable. All special orders are not exchangeable, non-returnable, and non-refundable.
BeautyOurWay Llc agrees to provide in English, to Distributor advertising material, sales promotion material, tester units at Distributor’s expense.
DISTRIBUTOR ANNUAL SALES TARGET “TAKE THE CHALLENGE’
Distributor shall use reasonable commercial efforts to purchase and sell during the first calendar year at least $3,000 value of Supplier Products for retailers; thereafter, amount increases by 10% added value to annual target amount. If Distributor does not purchase and sell the Annual Target amount during the first given calendar year, BeautyOurWay Llc may terminate this Agreement effective immediately upon notice to Distributor.
SUPPLIER SECURITY INTEREST
Notwithstanding the passage of title, BeautyOurWay Llc shall retain a security interest in all BeautyOurWay Llc Products delivered until amounts for which Distributor is responsible under this Agreement have been received by BeautyOurWay Llc. BeautyOurWay Llc shall have all rights of a secured party, including the right to file a financing statement under the Uniform Commercial Code or comparable law within the territory to protect BeautyOurWay Llc security interest in the event Distributor defaults in its payment obligations. BeautyOurWay Llc have the right to enter the premises of Distributor to recover possession of all Supplier products on said premises.
PAYMENT AND DELIVERY
The purchase price shall be quoted and payable in U.S. Dollars to BeautyOurWay Llc at the address specified on the invoice. Unless otherwise agreed by the parties in writing, payment shall be made by Distributor according to Supplier’s method of payment. Supplier’s Product shall be delivered to Distributor’s facility. When shipping Distributor’s order, risk of loss of the Supplier’s Products shall be secured by Distributor’s shipping and handling insurance. If Supplier pays any shipping, handling cost or insurance, such cost will be billed to Distributor and will be reimbursed to BeautyOurWay Llc by Distributor.
Payment can be made by major credit cards, (i.e. VISA, MASTER CARD, AMERICAN EXPRESS, DISCOVER). Distributor orders will be processed after the confirmation of payment is received.
GOVERNMENTAL AND NON-GOVERNMENTAL APPROVALS
Distributor shall obtain, at its own expense, such approvals, consent, certifications, permits, and other authorizations, including all approvals as are required to qualify BeautyOurWay Llc Products for sale and used in the market for all purposes, both governmental and non-governmental approvals as soon as reasonable provided; however, that Supplier shall be obligated to deliver any BeautyOurWay Llc Products, until Distributor provides Supplier with satisfactory evidence that such approvals have been obtained. BeautyOurWay Llc agrees to cooperate with Distributor to obtain such approvals.
Under this Agreement it binds the distributor to its obligations and agrees to comply with all local, foreign, state, and federal laws, codes, statues, constitutions, and ordinances of all governmental authority that may apply to Distributor, its activities according to these processes or the Supplier Products, including applicable regulations and export control laws. Distributor agrees to the necessary step and execute all documents as Supplier may request in your stance with such compliance.
ASSIGNMENT AND DELEGATION
Distributor shall have no rights to assign any of its right or delegate its obligations under this Agreement without the prior written consent of BeautyOurWay Llc. Any assignment or delegation attempted without such written consent shall be void of no legal effect whatsoever. This Agreement shall be binding upon the parties’ respective successors and permitted assigns.
AUTHENTIC DOCUMENTATION NEEDED
